Terms of Use
PRIMAX TERMS OF USE
1. Parties to the Agreement
This Terms of Use Agreement is entered into between:
Cordova Business Solution Limited, the owner and operator of the PRIMAX platform, hereinafter referred to as "Company", "PRIMAX", "we", "us", or "our".
AND
The Client / User, being any individual, organization, financial institution, or entity that registers to use PRIMAX, hereinafter referred to as "You" or "Client".
By registering for or using PRIMAX, you confirm that you have read, understood, and agreed to be bound by these Terms of Use.
2. The Service
PRIMAX is a digital core banking and financial management platform developed and owned by Cordova Business Solution Limited.
The PRIMAX platform provides financial institutions, cooperatives, microfinance institutions, and related organizations with digital tools to manage financial operations including but not limited to:
- Customer account management
- Savings and deposit management
- Loan management
- Transaction processing
- Financial reporting
- Operational management
- Payment integrations
- Other digital financial services
PRIMAX is provided as a Software-as-a-Service (SaaS) platform accessible via web and other supported digital interfaces.
We are responsible for maintaining the platform, hosting infrastructure, software updates, and system maintenance to ensure optimal performance and service availability.
By registering on PRIMAX, you agree to:
- Use the platform in accordance with all applicable laws and regulations.
- Receive service-related notifications and occasional promotional communications from the Company.
3. Nature of Service and Financial Responsibility
PRIMAX is not a financial institution and does not directly provide:
- Banking services
- Investment services
- Loan funding
- Financial advisory services
PRIMAX only provides technology infrastructure that enables financial institutions and organizations to manage their own financial operations.
All financial services provided through PRIMAX are the sole responsibility of the Client or financial institution operating the platform.
Accordingly:
- PRIMAX shall not be liable for financial losses resulting from financial transactions conducted through the platform.
- Clients remain solely responsible for regulatory compliance and financial management activities conducted using PRIMAX.
4. Subscription and Payment
PRIMAX is offered on a subscription-based pricing model.
Clients may subscribe using one of the following options:
- Monthly Subscription Plan
- Annual Subscription Plan
Subscription fees grant the Client access to the PRIMAX platform for the duration of the active subscription period.
The Company reserves the right to:
- Modify subscription pricing when necessary
- Introduce new pricing plans
- Update features within subscription tiers
Clients will be notified in advance of any material changes to pricing.
All subscription payments are:
- Non-refundable once the service period has begun
- Required to maintain uninterrupted access to PRIMAX services
Failure to renew subscription payments may result in temporary suspension of service until payment is completed.
5. Payment Obligations
The Client agrees that:
- All invoices issued by the Company must be paid on or before the due date.
- Subscription fees remain payable regardless of whether the Client actively uses the system during the subscription period.
- All payments made to the Company for services rendered are non-refundable, except where required by law.
- Additional charges may apply for:
- Custom features
- System integrations
- Technical customization
- Implementation services
- Advanced support services.
6. Term and Renewal
This Agreement becomes effective immediately upon successful registration or subscription to PRIMAX.
The agreement remains valid for the duration of the Client's active subscription and automatically renews based on the selected subscription plan unless terminated in accordance with these Terms.
7. Termination
Either party may terminate this Agreement under the following conditions:
7.1 Termination by the Client
The Client may discontinue the use of PRIMAX at any time by ceasing subscription renewal.
7.2 Termination by the Company
The Company reserves the right to suspend or terminate access to PRIMAX if:
- The Client violates these Terms of Use
- The Client engages in fraudulent or illegal activities
- The Client fails to pay subscription fees
- The Client misuses the platform or its services
- The platform is used in a manner that damages the reputation or operations of PRIMAX or Cordova Business Solution Limited
Upon termination:
- Outstanding payments become immediately due.
- The Company may suspend access to the platform.
Upon request, the Company may provide the Client with a copy of their data in electronic format, after which such data may be permanently deleted from the Company's servers.
8. Service Availability and Maintenance
PRIMAX aims to provide reliable service availability. However, service interruptions may occur due to:
- Scheduled maintenance
- Infrastructure upgrades
- Hosting provider outages
- Internet or network disruptions
- Unforeseen technical issues
Where possible, the Company will notify Clients in advance of planned maintenance activities.
9. Intellectual Property
All intellectual property rights related to PRIMAX, including but not limited to:
- Software
- Design
- Source code
- Logos
- Graphics
- System architecture
- Documentation
remain the exclusive property of Cordova Business Solution Limited.
Clients are strictly prohibited from:
- Copying the platform
- Reverse engineering the software
- Creating derivative products
- Replicating PRIMAX features for competing products
- Reselling the system without written authorization
10. Limitation of Liability
To the maximum extent permitted by law:
- PRIMAX shall not be liable for indirect, incidental, or consequential damages.
- PRIMAX shall not be responsible for financial losses arising from the Client's use of the platform.
- The Company's total liability under this Agreement shall not exceed the subscription fees paid by the Client within the previous billing cycle.
11. Data Protection and Security
The Client is responsible for ensuring compliance with all applicable data protection and privacy laws, including the protection of customer data processed through PRIMAX.
Clients must:
- Protect account credentials
- Secure access to their systems
- Ensure that personal data is collected and processed legally
- Maintain confidentiality of customer information
The Company will implement reasonable technical safeguards to protect system integrity and data security.
12. Indemnification
The Client agrees to indemnify and hold harmless Cordova Business Solution Limited, its employees, directors, partners, and agents against any claims, liabilities, damages, or legal expenses arising from:
- Misuse of the platform
- Violation of laws or regulations
- Breach of these Terms
13. Assignment
The Company reserves the right to assign or transfer its rights and obligations under this Agreement to any affiliate or successor entity without prior notice.
14. Governing Law
This Agreement shall be governed and interpreted in accordance with the laws of the Federal Republic of Nigeria.
Any disputes arising from the use of PRIMAX shall be resolved under Nigerian jurisdiction.
15. Entire Agreement
This Terms of Use constitutes the entire agreement between the Client and the Company regarding the use of PRIMAX.
By registering or using PRIMAX, the Client confirms that they:
- Have read and understood this Agreement
- Agree to be bound by all provisions stated herein
- Have the authority to enter into this Agreement on behalf of their organization where applicable.
